Indemnity
You agree to defend, indemnify and hold harmless CCP Direct and its affiliates, directors, officers, employees, and/or agents (collectively, “Company Indemnitees”) from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) that may be incurred by any of the Company Indemnitees arising out of or relating to your violation of these Terms, your violation of any applicable laws, rules or regulations in connection with the Website, or from any other misuse of the Website. You agree that in the event any claim, allegation, suit or similar proceeding is commenced by a third party against any of the Company Indemnitees, that you will pay for the defense thereof, including reasonable attorneys’ fees and costs. Notwithstanding any of the foregoing, CCP Direct reserves the right to assume the exclusive defense and control of any proceeding that relates to CCP Direct, the Website, or any aspects thereof, whether or not subject to indemnification hereunder, and in such case you will cooperate fully with CCP Direct in our defense thereof.
Applicability of State Law
SOME STATES MAY NOT RECOGNIZE A DISCLAIMER OR LIMITATION OF WARRANTIES AND/OR LIMITATION OF LIABILITY. THE DISCLAIMER OR LIMITATION OF WARRANTY OR LIMITATION OF LIABILITY IS VOID WHERE PROHIBITED BUT ONLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW. CUSTOMERS MAY ALSO HAVE DIFFERENT AND/OR ADDITIONAL RIGHTS AND REMEDIES THAT VARY FROM STATE TO STATE.
Governing Law; Disputes
These Terms of Use and all matters relating to your access to, or use of this Website shall be governed by and construed in accordance with the laws of the State of Ohio, USA, without giving effect to conflict of law principles. We make no representation that the content on our Website is appropriate, legal or available for use in other locations. Those who choose to access this Website from other locations do so at their own initiative and are responsible for compliance with applicable local laws. Any legal action or proceeding relating to these Terms of Use or your access to or use of this Website shall be instituted in a state or federal court in the State of Ohio. You agree to submit to the jurisdiction of and agree that venue is proper in these courts.
Limitation on Time to File Claims
Unless prohibited by applicable law, any cause of action or claim you may have arising out of or relating to these Terms or the Website must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.
Arbitration
At its sole discretion, CCP Direct may require you to submit any dispute arising from use of the Website, or breach of these Terms, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Ohio law. By using the Website, you hereby consent to submission of any dispute to be final and binding arbitration.

We protect your privacy related to this Site. We maintain appropriate administrative and technical controls to safeguard the security and privacy of your personal information.
Purchase of Products on Site
For any purchase of our Products on the Site you also agree as follows:
1. Your Account: If you use this Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. CCP Direct reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion.
2. Pricing and Availability: Pricing and availability of merchandise shown on this Site is current as of the last Site update. CCP Direct reserves the right to adjust pricing or availability based on any criteria of its choosing, including but not limited to changes in manufacturers? sales prices. Sales price and merchandise availability will be finally determined at the time an order is placed.
3. Payment Terms: CCP Direct gladly accepts Visa, MasterCard, American Express and Discover for immediate payments. Terms are Net 30 days from the date of invoice for customers who have been pre-approved for credit. We also accept check in advance and ACH transfer
4.Taxes: We are required by law to charge sales tax to orders in accordance with county, state, and federal regulations. CCP Direct's obligation to collect taxes may change without notice. All taxes will be invoiced to the customer. If you are tax exempt, please submit a tax exemption certificate to our accounts receivable department prior to the placement of any order.
5. Shipping: CCP Direct ships from various warehouses across the United States, including FOB Philadelphia, FOB Sparks, NV, FOB Knoxville, TN, and various vendor warehouses. Most orders are shipped via UPS, shipping charges are prepaid and invoiced to the purchaser. Larger orders may be shipped by different carriers. CCP Direct reserves the right to choose the carrier for any and all shipments. Requests for a specific carrier must be shipped Collect or 3rd Party Billing. Please contact your CCP Direct Account Representative for any questions on the shipment or pickup of merchandise. CCP Direct reserves the right to refuse to ship to any person or location whenever it is unable to find a shipper that delivers to the destination, or when any shipment would be in violation of any law or regulation.
6. Claims: Customers should inspect each shipment immediately upon arrival and let CCP Direct know of any problems with your order. If you have questions or concerns about a shipment from CCP Direct, please contact CCP Direct’s Customer Service Department at 800-321-2840 or by email to connect@ccpdirect.com. All returns must be made through CCP Direct’s Return policy.
7. Returns: CCP Direct will provide a return authorization for all unprinted, stock items that have not been opened by the customer, provided the customer requests a return authorization within thirty (30) days of the purchase date. Products that are special orders, sanitizing and disinfecting products, or any product that has any custom imprinting are not returnable. Please contact your CCP Direct Account Representative or CCP Direct’s Customer Service Department to obtain a return authorization. All refused shipments will be subject to a 15% restocking fee.
Changes to these Terms
CCP Direct may update or change these Terms from time to time in order to reflect changes in any offered services, changes in the law, or for other reasons as deemed necessary by CCP Direct. The effective date of any Terms will be reflected in the “Last Modified” entry at the bottom of these Terms. Your continued use of the Website after any such change is communicated shall constitute your consent to such change(s).
Miscellaneous
In the event that any portion of this Agreement is held to be invalid or unenforceable, then such portion shall be construed in accordance with the applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of this Agreement shall remain in full force and effect. The sections of this Agreement entitled Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Governing Law; Disputes and Miscellaneous shall survive the termination of this Agreement. This Agreement contains the entire agreement of the parties concerning your use of this Site and supersedes all existing agreements and all other oral, written or other communication between the parties concerning its subject matter. We reserve the right to change, suspend, or discontinue all or any part of this Site or the Content at any time without prior notice or liability. You expressly absolve and release the CCP Direct Parties from any claim of harm resulting from a cause beyond their control, including, but not limited to, failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, computer viruses, unauthorized access, theft, operator errors, severe weather, earthquakes, or natural disasters, strikes or other labor problems, wars, terrorist activities or governmental restrictions. You may not assign this Agreement. No waiver shall be effective unless in writing. The paragraph headings herein are provided only for reference and shall have no effect on the construction or interpretation of this Agreement. You expressly agree not to export or re-export any of the Content to countries or persons prohibited under the export control laws of the United States.
